Terms of sale and licence

Who you're buying from

Millo is made and sold by a company in Ontario, Canada ("we", "us"). These terms are an agreement between us and the business that buys Millo ("you").

Millo is sold for business use. By buying, downloading or using Millo, you accept these terms for your business, and you confirm you're allowed to do that.

Paying for Millo

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

In practice, Paddle takes the payment, charges the sales tax, issues your receipt and answers questions about payments, receipts and refunds, under Paddle's buyer terms. We answer questions about using Millo. If something on your order is wrong, such as the email address, tell us or Paddle and it will be put right.

What Millo is

Millo is software you install on a computer your company provides: a Mac that meets the requirements on the install guide. Everyone else uses it from a browser. Crew phones reach it on your office network, or from job sites once you set up Millo Hub with your own Cloudflare account. It isn't a cloud service, and it only works while that computer is on. The price is on the pricing section and at checkout, and it's a one-time payment, not a subscription.

What you get

• A licence to install and use Millo for your company's own work. It doesn't expire.
• As many sign-ins as your company needs, for owners, office staff and crew.
• The right to install Millo on computers your company owns or controls, for example to move your records to a new computer or to restore a backup.
• Every update to Millo 1, at no charge. If there's ever a Millo 2, we'll say what it costs before it's released, and you can keep using the version you have.

One licence covers one company: the business that bought it and the people who work for it.

What you can't do

• Share, sell, rent or lend Millo, your licence or your download link to anyone outside your company.
• Use one licence for another company's records, or run Millo as a service for other businesses.
• Remove our name or copyright notices from Millo.
• Get around the checks on the download pages.

Millo and its name belong to us. Buying a licence doesn't transfer ownership of the software.

Your records

Everything you put into Millo stays on your own computer and belongs to you. We don't hold a copy, so we can't recover your records for you. Millo makes a backup every night to a folder you choose. Keeping that folder on a separate drive, and checking it now and then, is up to you.

Checking what Millo works out

Millo calculates budgets, costs, hours, wages, sales tax, deposits and Ontario Construction Act payment deadlines from what you enter and the settings you choose. Check invoices, pay and deadlines before you rely on them or send them. Millo isn't accounting, tax, payroll or legal advice.

The assistant drafts wording for client updates and hourly breakdowns. Read every draft before it goes out. Millo never sends anything to a client on its own.

Services from other companies

Some features use services you choose and set up yourself: an AI provider with your own API key, models from Ollama, your own Cloudflare account for Millo Hub, and your email service. Their terms and prices apply to that use, and we aren't responsible for those services.

Millo includes open-source software, such as the Node.js runtime and Cloudflare's cloudflared, under their own licences. Copies of those licences come in the download.

If something goes wrong

If Millo doesn't do what this website says it does, tell us and we'll work to fix it. If you're within the refund window, you can also have your money back under the refund policy.

Beyond that, and as far as the law allows, Millo is provided as it is, without other promises, for example that it will be free of mistakes or suit every business.

As far as the law allows, we aren't responsible for indirect or consequential losses, such as lost profit, lost business, or lost or incorrect records. Our total responsibility for any claim about Millo is limited to the amount you paid for it.

Ending the licence

Your licence ends if you get a refund, or if you break these terms. When it ends, stop using Millo and delete your copies. Your records stay yours.

Millo Link

Millo Link, the subscription for crew phones away from the office, isn't available yet. It will have its own terms when it is.

Changes to these terms

We may update these terms, and the date below shows when they last changed. A change never takes away a licence you've already paid for.

Law and courts

These terms are governed by the laws of Ontario and the federal laws of Canada that apply there. Any dispute about them goes to the courts of Ontario.
